Ready and Roam, LLC

The terms described below cover the entire Ready and Roam, LLC (“Site”) and applications accessible or downloadable from the Site (“Application”); if you access a third party from the Site or access this Site through a third party, you should make sure to read that site’s terms as well, as those will apply. Words such as “we,” “us,”, “our”, or “Ready & Roam” refer to Ready & Roam, LLC. Words such as “you,” “your” and other similar expressions refer to our customers, or the specific users of this Site or Applications. Ready & Roam and its users will be known as the “Parties.” By visiting and using the Site, you accept the practices described in these Terms.

By accessing or using the Site, the services available through the Site (“Services”), or the Applications, you agree to be bound by these Terms, including the warranty disclaimers, the limitation of liability provisions, and the Privacy Policy.

If you do not understand or agree to these Terms, do not access or use the Site, the Services, or the Applications, and please exit the Site now.

1. Site Submissions.

Ready & Roam is an online platform that involves publishing travel related articles, reviews and suggestions, submitted by either its Owners or Third Parties; there is no compensation that changes hands and all information is submitted voluntarily.

Ready & Roam does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any professional travel services.

For those submitting, Ready & Roam resumes the right to edit any submitted information, based on our review of the submission.

2. Using the Site

When retrieving information from the Site, you are prohibited from (a) using or attempting to use spiders, robots, avatars, intelligent agents, or any other extraction or navigation search except for a normal browser, (b) aggregating, copying or duplicating any of the materials or information available from the Site except for the small amount of materials and information temporarily required for an ordinary single use of the Site by you, or (c) accessing data not intended for you.

By accessing or using the Site, you expressly agree to the following:

You represent and warrant that you are legally entitled to enter into these Terms and to use the Services.

You represent and warrant that you are at least 18 years old. If you are under the age of 18, you are not permitted to submit any personal information to us.

You shall not allow any other person or entity to access or use your account. You shall not share your password or any other login credentials with any other person or publicly disclose it.

You shall comply with all state and local laws of each location in which you access the Site or use the Services. You shall not use the Site or Applications for any illegal or unauthorized purpose.

You shall only access or use the Site with a compatible device or computer. Ready & Roam assumes no responsibility or liability for loss resulting from failure to comply with this provision.

You represent and warrant that all Content that you post to the Site, or submit to us to post on your behalf, shall be your wholly original material (except for material that you are using with the permission of its owner) and does not infringe or violate any copyright, trademark, or other rights of any third party including any rights of privacy or publicity.

You shall be solely responsible for keeping a duplicate copy of all content; we do not accept any responsibility or liability for the loss of your Content.

You acknowledge that, by accessing or using the Site, certain mobile carrier charges may apply, including SMS messaging charges and data charges.

You shall not transmit worms, viruses or any code of a destructive nature to Ready & Roam, other users, the Site, or the Applications.

You shall not abuse, harass, threaten, harm or impersonate other Ready & Roam users or employees or contractors of any Ready & Roam entity, its related entities, successors or assigns, at any time or for any reason.

You shall not post or submit Content that is hateful, threatening, pornographic, obscene, abusive, unlawful, harassing, racially or ethnically offensive, libelous or defamatory, or any content that encourages unlawful conduct; if you do so, we reserve the right to remove it at our sole discretion.

Any use of the Site in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Site. Ready & Roam reserves the right to monitor your use of the Site. Furthermore, we reserve the right to suspend your use of the Site, for any reason.

3. No Guarantee

Ready & Roam has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any travel suggestion, (ii) the truth or accuracy of any descriptions, ratings, reviews, or other Member or third party content, or (iii) the performance or conduct of any visitor or third party. Images are intended only to indicate a photographic representation at the time the photograph was taken, and are therefore not an endorsement by Ready & Roam of any travel suggestion.

4. Intellectual Property Rights

The copyrights and other intellectual property on the Site are owned by Ready & Roam, its independent contractors, or its licensors. Subject to your compliance with these Terms, you are authorized to view, store, print, copy, and distribute the pages, data, text, images, audio, video, or other content within the Site for the purposes of your personal use only. This right is non-transferable and non-sub licensable. All other rights are reserved. In consideration of this authorization, you agree that (a) any copy of these documents which you make shall retain all copyright and other proprietary notices contained in such documents and (b) these Terms are included with any distribution, which shall be limited to your personal use (i.e. to your family or travel companion(s)).

By posting or submitting Content to the Site, you hereby grant Ready & Roam a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, distribute, sublicense, transfer, prepare derivative works of, and display the Content when operating the Site, and for Ready & Roam’s internal business purposes, which include the Services.

5. Modification of Terms

Ready & Roam reserves the right to modify these Terms at any time. If we make changes to these Terms, we will post the revised Terms on the Ready & Roam Platform and update the “Last Updated” date at the top of these Terms.

6. Indemnity

You shall indemnify, defend and hold harmless Ready & Roam and its affiliates, related companies, officers, directors, members, employees, agents, representatives, partners, and licensors from any and all third party claims, liability, damages and/or costs (including attorneys’ fees) arising from or related to (i) your use of the Site, Services, or Applications, (ii) your violation of these Terms, or (iii) any infringement or misappropriation of any intellectual property right or other right of any person or entity by you or any other user of your user account. You agree to immediately notify Ready & Roam of any unauthorized use of your user account or any other breach of security known to you that may affect the security of the Site or Applications.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READY & ROAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE, SERVICES, OR APPLICATIONS; OR (B) ANY CONTENT OBTAINED FROM THE SITE OR APPLICATIONS.

YOU EXPRESSLY AGREE THAT THE MAXIMUM AMOUNT OF DAMAGES THAT YOU ARE ENTITLED TO IN ANY CLAIM AGAINST READY & ROAM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES, WILL NOT EXCEED THE MONIES READY & ROAM HAS RECEIVED FROM YOU FOR THOSE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIMS AGAINST READY & ROAM MUST BE MADE WITHIN ONE YEAR OF THE FACTS GIVING RISE TO THE CLAIM.

8. Governing Law and Dispute Resolution.

These Terms shall be governed by and interpreted under the laws of the State of Minnesota. If any dispute, controversy or claim arises between the Parties with respect to this Agreement or any future amendment to this Agreement, you agree that the matter will first be submitted for mediation before a mutually agreed upon mediator in Minnesota. If the Parties cannot agree on a mediator, the matter will be heard by a mediator appointed through the Minnesota Mediation Center or similar service if Minnesota Mediation Center no longer exists. If mediation does not result in agreement, the Parties agree to Minnesota state courts in Hennepin County, Minnesota, as the venue for any litigation regarding this Agreement, including the rights and obligations of any Party to this Agreement.

9. Severability

If any provision of this Agreement is declared invalid or unenforceable, then that provision will be modified to one that is valid and enforceable and most closely carries out the intent of the initial provision, and all remaining provisions of this Agreement will continue in full force and effect.

10. Relationship

No joint venture, partnership, employment, or agency relationship exists between you and Ready & Roam as a result of this Agreement or your use of the Site.

11. Third Parties

These Terms do not and are not intended to confer any rights or remedies upon any person other than the Parties.

12. Waiver

Ready & Roam’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

13. Assignment

You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without Ready and Roam's prior written consent. Ready & Roam may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion. Your right to terminate this Agreement at any time remains unaffected.

14. Entire Agreement

These Terms of Service and the Privacy Policy contain the entire understanding between the Parties with respect to its subject matter and supersede any and all other prior written or oral agreements and understandings between the Parties. We may revise these Terms from time to time, and the most current version will always be at www.ReadyandRoam.com. By continuing to access or use the Site, the Services, or the Applications after those revisions become effective, you agree to be bound by the revised terms. We do not assume any obligation to notify you of changes to these Terms.
